1. Service Agreement

<极>This agreement constitutes the entire understanding between the Client and Erster Blicks regarding the services to be provided. Any modifications must be in writing and signed by both parties. These Terms supersede all prior agreements, representations, and understandings.

2. Service Description

Erster Blicks agrees to provide the services as described in the project proposal or statement of work ("SOW"). Services may include but are not limited to:

• Web design and development services
• Software development and programming
• Digital marketing services
• AI/ML development solutions
• Consulting and technical support

The specific scope, timeline, and deliverables for each project will be outlined in a separate SOW or project agreement.

3. Client Responsibilities

The Client agrees to:

• Provide all necessary materials, information, and access required for project completion
• Appoint a single point of contact for project communications
• Review deliverables promptly and provide timely feedback
• Make timely payments as specified in the payment schedule
• Obtain all necessary licenses for materials provided to Erster Blicks

4. Fees & Payment

All services will be performed for the fees outlined in the project proposal or SOW. Payment terms are as follows:

• A 30-50% deposit is typically required to commence work
• Progress payments may be required for longer-term projects
• Final payment is due upon project completion and before final delivery
• Late payments will incur interest at 1.5% per month

All fees are quoted in INR unless otherwise specified. The Client is responsible for any taxes, duties, or other governmental charges.

5. Deliverables

Upon full payment, Erster Blicks will deliver the completed work as specified in the SOW. The Client will have 7 business days to review deliverables and request reasonable revisions. After this period, the work will be considered accepted.

Ownership of final deliverables transfers to the Client upon full payment, excluding any proprietary tools, frameworks, or technologies developed by Erster Blicks.

6. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information received from the other party. Confidential information includes but is not limited to:

• Business strategies and plans
• Technical specifications and methodologies
• Customer and vendor information
• Financial information

This obligation shall survive termination of the agreement and continue for a period of 3 years thereafter.

7. Termination

Either party may terminate this agreement with 30 days written notice. In the event of termination:

• The Client will pay for all services rendered up to the termination date
• Erster Blicks will deliver all completed work to date
• Any deposits will be applied to work completed

Erster Blicks reserves the right to terminate immediately for non-payment or breach of these Terms.
